LATYMER OLD BOYS FOOTBALL CLUB CONSTITUTION

(Adopted by AGM 26th July 2006)

1. TITLE AND OBJECT


1.1 The name of the Club shall be Latymer Old Boys Football Club.
1.2 The object of the Club is to provide football on a competitive and friendly basis for members of the club, in compliance with and as defined by Rule 3 of the Amateur Football Alliance.

2. AFFILIATION


The Club shall affiliate to and where appropriate enter the competition of :-
2.1 The Amateur Football Alliance
2.2 The London Football Association
2.3 The Amateur Football Combination
2.4 The London Old Boys Cup Competition
2.5 The Latymer Old Students Association
2.6 Botany Bay Cricket Club

3. MEMBERSHIP


3.1 Membership of the Club shall be within the following categories:

3.1.1 PRESIDENT
Shall be elected annually at the Annual General Meeting. The President will not be liable to an annual subscription unless they also qualify under another form of membership.

3.1.2 LIFE VICE-PRESIDENTS
Vice-Presidency shall be open to any person having a close association with the Club, and shall be nominated by the Executive Committee and confirmed by vote at an Annual General Meeting. Life Vice-Presidents will not be liable to an annual subscription, unless they also qualify under another form of membership.

3.1.3 ELECTED VICE-PRESIDENTS
Elected Vice-Presidency shall be open to any person having a close association with the Club, and may be nominated by the Executive Committee or proposed and seconded by two club members, and confirmed by vote at an Annual General Meeting and subject to re-election by rotation after three years. Elected Life Vice-Presidents may be liable to an annual subscription, as decided by the Executive Committee. Proposals for Elected Vice-Presidency should be submitted in writing to the Hon. Secretary not less than 28 days prior to the Annual General Meeting.

3.1.4. FULL PLAYING MEMBERS
Defined as being past pupils, past and present teachers together with the offspring of past pupils, past and present teachers of the Latymer School, or members of Botany Bay Cricket Club. Full playing members shall be liable to pay the full annual subscription. Full playing membership shall be confirmed by the Executive Committee.

3.1.5. ASSOCIATE PLAYING MEMBERS
Persons other than those defined in Rule 3.1.4. may be offered Associate Playing Membership after having been proposed and seconded by Full Playing Members, subject to confirmation by the Executive Committee, and after a suitable probationary period. The number of Associate Playing Members shall not exceed 20 at any time. All such members shall be liable to pay the full annual membership and match fee.

3.1.6. STUDENT MEMBERS
Student membership is available to persons in full time education and first year leavers, from the Latymer School, together with ex pupils currently taking education at College or University, subject to confirmation by the Executive Committee, and shall pay the appropriate Student Membership subscription and match fee.

3.1.7. SOCIAL MEMBERS
Social membership is available to persons proposed and seconded by Full Playing Members and confirmed by the Executive Committee, and shall pay the Social Membership subscription.

3.2.1 TERMINATION OF MEMBERSHIP
Membership will be terminated automatically should subscriptions remain unpaid at 31st December. In cases of gross misconduct, membership may be terminated by the Executive Committee. The member(s) concerned shall have the right to appear before the Executive Committee meeting considering such a decision.

3.2.2 APPEAL PROCEDURE
A member whose membership has been terminated under Rule 3.2.1. shall have the right to appeal to a General Meeting. Should two thirds of the Members attending up-hold the action of the Executive Committee the decision shall be operative and final.

4. OFFICERS


The Officers of the Club shall consist of a President, Vice-Presidents, Elected Vice-Presidents, Chairman, Vice-Chairman Football, Vice-Chairman Administration, Hon Secretary, Hon Treasurer, Hon Match Secretary, Fundraising Secretary, Social Committee Chairman, Ground Representative, House Representative, Membership Secretary, School Liaison/Recruitment Secretary and all Team Captains, and with the exception of Vice-Presidents and Elected Vice-Presidents shall be elected each year at the Annual General Meeting. The Executive Committee will appoint one of its members to act as Vice Chairman.

5. MANAGEMENT


5.1.1. GENERAL COMMITTEE
The Club shall be governed in accordance with the Rules of those organisations to which it is affiliated, as detailed in Rule 2, by a General Committee consisting of the Officers of the Club, together with the members of all Standing Sub-Committees, which shall meet as required.

5.1.2. EXECUTIVE COMMITTEE
The routine administration of the Club shall be undertaken by the Executive Committee consisting of Club Chairman, Club Vice-Chairman Football, Club Vice-Chairman Administration, Hon Secretary, Hon Treasurer, Match Secretary, Membership Secretary, School Liaison/Recruitment Secretary, Ground Representative and House Representative. The Executive Committee shall meet at least monthly during the period September until May and as required thereafter.

5.1.3. STANDING SUB-COMMITTEES
The following standing Sub-Committees shall be elected each year at the Annual General Meeting and will meet as necessary, reporting to the Executive Committee.

(a) SELECTION COMMITTEE
Shall comprise of the Vice-Chairman Football, who will act as Chairman, all Team Captains, Hon Match Secretary, who will act as Secretary, and will meet weekly during the playing season for the purpose of selecting teams to represent the Club.

(b) SOCIAL COMMITTEE
Shall comprise of Chairman plus three Club members, and will meet as necessary but not less than once every six weeks.

(c) FINANCE & FUND RAISING COMMITTEE
Shall comprise of the Hon Treasurer, Fundraising Secretary plus two Club members, and shall meet as necessary but not less than once every eight weeks.

5.1.4. AD HOC COMMITTEES
May be formed at the discretion of the Executive Committee.

6.1. ANNUAL GENERAL MEETING.


Shall take place before the second Friday in June of each year. The Officers, members of Club Standing Committees and Hon. Auditor shall be elected at the meeting. The agenda shall be forwarded to every Club member 42 days in advance of the meeting. Copies of the audited Accounts will be available at the meeting, or beforehand on application to the Hon. Secretary. Fifteen members shall constitute a quorum.

6.2 SPECIAL GENERAL MEETING
May be summoned at any time either at the instance of the Executive Committee or upon application to the Hon. Secretary in writing. Such applications must bear the signatures of not less than 25 members and shall state clearly the motion(s) to be placed before the Meeting. Such a meeting shall take place within 42 days of the receipt of the application by the Hon. Secretary. The meeting shall only discuss the motion(s) which are the subject of the application. Special General Meetings may not be held at intervals of less than two months. Fifteen members shall constitute a quorum.

6.3.1. VOTING
(a) At all General Meetings members as defined in Rules 3.1.4/5/6/7 are entitled to vote, provided all subscriptions have been paid. A simple majority shall be decisive except in the case of a proposal to alter the Constitution when a majority of two-thirds of the members present and voting is required.

(b) In the event of a tied vote the Chairman or Vice Chairman shall have the casting vote.

(c) Voting shall be by a show of hands except in the case of election of officials when a secret ballot may be requested by a member. In the case of multiple candidates for a single Office, if no one candidate secures a simple majority over the rest combined, the lowest scoring candidate drops out and the ballot is repeated until a winner emerges.

7. MINUTES AND RECORDS


Minutes of all Meetings must be recorded and filed by the Hon Secretary with all other Club records.

8. SUBSCRIPTIONS


(a) All subscriptions shall be fixed by members in General Meeting each year to accommodate all levels of membership.

(b) Annual subscriptions shall be due 1st October, after which a penalty surcharge will be invoked.

(c) Annual subscriptions not paid by 31st October will result in the member being selected to play only after paid up members have been selected.

(d) Should an Annual subscription remain unpaid at 30th November the member concerned will not be considered for selection.

9. ALTERATION TO RULES


No alteration of these Rules shall be made except by a General Meeting, and only if two-thirds of the Officers and Members are present and voting support such alteration. 60 days notice must be given to the Hon. Secretary of any proposed alteration or addition, such amendment shall be forwarded to each Club Member with the notice convening the meeting.
